Terms of Service
These Terms of Service ("Terms") govern your access to and use of the MJC Job Manager software, the companion mobile application, the mjcjobmanager.com website, and any related services (collectively, the "Service") provided by MJCIT (ABN 96 716 605 609) ("MJCIT", "we", "our", or "us").
By purchasing, installing, or using the Service, you ("Customer", "you", or "your") agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
1. The Service
MJC Job Manager is a single-tenant, self-hosted job management platform for trade businesses. The Service consists of:
- The MJC Job Manager web application (server software installed on your own infrastructure).
- The MJC Job Manager Companion App (Android mobile application).
- Optional managed hosting services (where MJCIT operates the server infrastructure on your behalf).
- Optional support and update services.
- The mjcjobmanager.com website and any associated documentation.
2. License Grant
The Software is licensed, not sold. Your use of the Software is governed by the MJC Job Manager Commercial License Agreement ("License"), which is incorporated into these Terms by reference. The License is provided with the Software and is available at mjcjobmanager.com/license.html.
In summary, subject to your payment of applicable fees:
- You are granted a non-exclusive, non-transferable, perpetual license to install and run the Software on a single server instance for your internal business operations.
- You may install the companion app on devices used by your employees and contractors in connection with your licensed server instance.
- You may not redistribute, resell, sublicense, or make the Software available to third parties as a service.
- You may not modify, decompile, reverse engineer, or create derivative works of the Software, except as expressly permitted by applicable law.
3. Fees and Payment
3.1 Software License
The Software is provided under a paid license. License fees are specified at the time of purchase. Licenses are perpetual — once purchased, you may use that version of the Software indefinitely. Updates and upgrades may require an active support subscription.
3.2 Support and Updates
Ongoing support and software updates are provided on a subscription basis at the then-current rates published on our pricing page or in your service agreement. Support subscriptions are billed monthly in advance. You may cancel support at any time — you retain your existing installation and data.
3.3 Managed Hosting
Managed hosting fees are billed monthly in advance at the rates specified in your service agreement. Managed hosting includes server provisioning, maintenance, backups, and the Software license.
3.4 Payment Terms
All fees are in Australian Dollars (AUD) unless otherwise stated. Fees are non-refundable except as required by Australian Consumer Law. We reserve the right to change our fees with 30 days' notice. Late payments may result in suspension of support services.
4. Customer Obligations
You are responsible for:
- Maintaining the confidentiality of your authentication credentials.
- All activity that occurs under your account and server instance.
- Ensuring your use of the Service complies with all applicable laws and regulations.
- Obtaining any necessary consents from your employees, contractors, and end users regarding data collection and processing.
- Maintaining appropriate backups of your data (for self-hosted installations).
- Not using the Service for any unlawful purpose or in violation of any third-party rights.
5. Intellectual Property
MJCIT retains all right, title, and interest in and to the Service, including all software, documentation, logos, trademarks, and any improvements or modifications thereto. These Terms do not grant you any ownership rights in the Service. Any feedback, suggestions, or ideas you provide about the Service may be used by MJCIT without restriction or compensation.
Your data is yours. MJCIT claims no ownership over the business data you enter into the Software (customer records, jobs, invoices, documents, etc.). For self-hosted installations, this data never leaves your infrastructure. For managed hosting, this data is held on your behalf and returned or destroyed upon termination of the hosting service.
6. Third-Party Services
The Service may integrate with third-party services (e.g., Xero, Google Drive, Dropbox, SMTP providers). Your use of such third-party services is governed by their respective terms and privacy policies. MJCIT is not responsible for the availability, accuracy, or practices of third-party services.
7. Termination
7.1 By You
You may stop using the Service at any time. For self-hosted installations, you retain your software and data. For managed hosting, your data will be made available for export for 30 days following termination.
7.2 By Us
We may suspend or terminate your access to support, updates, or managed hosting services if you materially breach these Terms and fail to remedy the breach within 14 days of notice. Termination does not affect your perpetual license to use the Software version you have installed.
7.3 Effect of Termination
Upon termination: (a) your right to access support and updates ceases; (b) for managed hosting customers, your data will be exported and the hosting environment decommissioned within 30 days; (c) any outstanding fees become immediately due. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) will survive.
8. Warranties and Disclaimers
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, MJCIT disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or completely secure. You acknowledge that the Software's security depends in part on your own configuration and infrastructure.
Australian Consumer Law notice: If you are a "consumer" under the Australian Consumer Law (ACL), you may have certain rights and remedies that cannot be excluded. Nothing in these Terms is intended to exclude, restrict, or modify those rights. To the extent permitted by law, our liability for breach of any consumer guarantee is limited to (at our option) the resupply of the services or the payment of the cost of having the services resupplied.
9. Limitation of Liability
To the fullest extent permitted by law, MJCIT's total aggregate liability for any claims arising out of or relating to these Terms or the Service is limited to the amount you paid us for the Service in the 12 months preceding the claim.
In no event will MJCIT be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, whether based on contract, tort (including negligence), statute, or otherwise, even if advised of the possibility of such damages.
For self-hosted customers, you acknowledge that MJCIT has no control over your infrastructure and therefore no liability for data loss, security breaches, or service interruptions arising from your environment.
10. Indemnification
You agree to indemnify and hold harmless MJCIT and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your breach of these Terms; or (c) your violation of any third-party rights or applicable law.
11. Confidentiality
Each party agrees to protect the other's confidential information using at least the same degree of care it uses for its own confidential information. Confidential information includes these Terms, pricing, and any non-public technical or business information disclosed by either party. Obligations do not apply to information that is publicly known, independently developed, or rightfully received from a third party.
12. Modifications to these Terms
We may modify these Terms from time to time. Material changes will be communicated via email (for active customers) or a notice on the Website at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the modified Terms.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of Queensland, Australia. The parties submit to the exclusive jurisdiction of the courts of Queensland.
Before initiating formal legal proceedings, each party agrees to make a good-faith effort to resolve any dispute through negotiation. If unresolved within 30 days, either party may pursue its rights in accordance with this clause.
14. General
Entire agreement: These Terms, together with the License and any executed service agreement, constitute the entire agreement between the parties regarding the Service.
Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
No waiver: Failure to enforce any provision does not constitute a waiver.
Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Force majeure: Neither party is liable for delays or failures caused by circumstances beyond its reasonable control.
